按照1902年签订的《正太铁路借款合同》《正太铁路行车合同》规定，20世纪30年代初，中法双方进行了正太铁路运营管理权及全部路产的移交和接收。借款的本息全数清是移交接收的前提，在筹备移交、举办接收典礼以及完成点收签字等过程中，中法双方围绕着法方运营期间出现的华俄道胜银行倒闭后存款清偿、山西银行钞票贬值后兑现的偿付、支付巴黎银公司红利的结算、存储巴黎银公司购货尾款的追讨以及辞退洋员旅费川资报销等一系列胶葛纠纷问题，双方展开了多次交涉谈判。在移交接收日期和资产账目处置等方面，双方有分歧、有妥协，逐渐取得和解，达成共识，最终实现了正太铁路相对比较平稳的移交和顺利接收。

In the early 1930s, according to "Zhengtai Railway Loan Contract" and "Zhengtai Railway Operation Contract" signed in 1902, China and France transfer and receive the operation and management rights of the Zhengtai railway and all railway assets. The full settlement of the principal and interest of the loan is a prerequisite for transfer and acceptance. In the process of preparing for the handover, holding the reception ceremony, and completing the collection and signing, Chinese and French engage in multiple negotiations on a series of disputes related to the settlement of deposits after the collapse of Sino Russian Daosheng Bank, the repayment of cashed Shanxi Bank banknotes after depreciation, the settlement of dividends paid to Paris Bank,the recovery of the purchase balance of Paris Bank, and the reimbursement of travel expenses for dismissed foreigners, which occurs during the operation of the French side. In terms of the handover and acceptance date and asset account disposal, both parties have differences and compromises, and gradually reaches a settlement and consensus, ultimately achieving a relatively smooth handover and smooth takeover of the Zhengtai railway.
